Courstructor — Terms of Service

These Terms of Service ("Terms") govern your access to and use of Courstructor (the "Service"), operated by Harding Media Group LLC ("we," "us," "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What Courstructor does

Courstructor reads a course development document that you supply and creates corresponding content in a Canvas LMS course that you specify — modules, pages, quizzes, discussions, assignments, and rubrics.

Courstructor formats and places your content. It does not author content. The Service is designed to transfer material that already exists in your document into Canvas. It does not generate instructional content, quiz questions, or assessment criteria that you have not provided. Where required information is absent from your document, the Service flags the item rather than inventing content.

2. Beta status

The Service is currently offered on a pre-release, invitation-only basis. You acknowledge that:

  • The Service may contain defects, may change without notice, and may be suspended or discontinued at any time.
  • No service level, uptime, or availability commitment is made.
  • Features may be added, altered, or removed.
  • We may revoke access at our discretion.

During the beta period you agree to use the Service only with non-production Canvas courses — sandbox, development, or test courses that do not have enrolled students relying on them. This is a condition of access, not a recommendation.

3. Your account

You must provide accurate information when creating an account and are responsible for all activity under it. Accounts are for individual use; do not share credentials. You must be at least 18 years old and authorized by your institution to connect the Canvas course you use with the Service.

4. Canvas credentials and access scope

To use the Service, you supply a Canvas instance URL and a Canvas access token. You should understand the following before doing so.

Your token carries your permissions. A Canvas access token inherits the full permissions of the account that issued it. That may include the ability to read student records, submissions, and grades across every course your account can reach — regardless of what Courstructor itself uses the token for.

What Courstructor actually does with it. The Service uses your token only to read and write course content in the single Canvas course you designate for a given build or modifier session. The application is built so that:

  • Every Canvas request is scoped to the course ID you approved.
  • No part of the automated system can select a different course.
  • The Service does not read student records, submissions, grades, enrollments, or user profiles.
  • The automated build process can only create and attach content. It has no capability to delete Canvas content.

How your token is stored. Your Canvas URL and token are held in an AES-256-GCM encrypted, HTTP-only browser cookie. They are not written to our database. Clearing the cookie or disconnecting removes them. See the Privacy Policy for detail.

Your responsibilities. You are responsible for issuing a token with the narrowest access that meets your needs, for keeping it confidential, and for revoking it in Canvas if you believe it has been exposed or when you stop using the Service.

5. Your content

You retain all rights to the documents you upload and the course content you create. You grant us a limited licence to process that material solely to provide the Service — parsing your document, structuring it, and writing the result into your Canvas course.

You represent that you have the right to upload and use the material you provide, and that doing so does not infringe any third party's rights.

Do not upload student personally identifiable information, graded work, educational records, or other confidential personal data. Courstructor is a course-construction tool. It is not designed, and must not be used, as a processor of student records.

6. Automated processing and AI subprocessing

The Service uses Anthropic's Claude API to analyse the structure of your document and to format its content for Canvas. Your document text and the resulting structured content are transmitted to Anthropic for that purpose. Anthropic does not use data submitted through its API to train its models by default. 7. Review before publication — your responsibility

You are responsible for reviewing everything the Service creates before making it available to students. Automated systems make mistakes: content may be mis-structured, mis-attributed, incorrectly formatted, placed in the wrong module, or omitted.

The Service presents a build plan for your approval before writing to Canvas. Approving it is your decision and your responsibility. We do not review, approve, or verify the accuracy, quality, accessibility, or academic appropriateness of any content the Service produces.

You remain solely responsible for the academic integrity, accuracy, accessibility compliance, and institutional policy compliance of your courses.

8. Builds are not reversible

Content written to Canvas cannot be automatically undone by the Service. You are responsible for maintaining any backup or course-copy you may need, and for verifying the target course before approving a build.

9. Acceptable use

You agree not to:

  • Use the Service with a Canvas course you are not authorized to modify.
  • Upload material you do not have the right to use.
  • Attempt to circumvent access controls, rate limits, or the course scoping described in Section 4.
  • Reverse engineer, resell, or provide the Service to third parties without our written consent.
  • Use the Service in a way that violates your institution's policies or applicable law.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT CONTENT PRODUCED BY THE SERVICE WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR COURSE OR AUDIENCE.

WE ARE NOT RESPONSIBLE FOR THE BEHAVIOR, AVAILABILITY, OR DATA HANDLING OF CANVAS LMS OR ANY OTHER THIRD-PARTY SERVICE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

(a) WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, COURSE CONTENT, OR ACADEMIC OR REPUTATIONAL HARM, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE — WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(b) THIS INCLUDES, WITHOUT LIMITATION, ANY LOSS, CORRUPTION, DELETION, OVERWRITING, OR MISPLACEMENT OF CONTENT IN YOUR CANVAS INSTANCE, AND ANY CONSEQUENCE OF CONTENT BEING PUBLISHED TO STUDENTS.

(c) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (i) THE TOTAL AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS ($100).

(d) DURING ANY PERIOD IN WHICH THE SERVICE IS PROVIDED FREE OF CHARGE, OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless Harding Media Group LLC and its officers, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable legal fees) arising out of: (a) your use of the Service; (b) material you upload or create; (c) your breach of these Terms; (d) your violation of your institution's policies or applicable law; or (e) any content published to students through your Canvas course.

13. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, including for breach of these Terms.

On termination, your right to use the Service ends immediately. Content already written to your Canvas course is unaffected and remains yours. See the Privacy Policy for how data is handled after account deletion.

14. Changes to these Terms

We may modify these Terms. Material changes will be posted here with an updated effective date and, where practical, notified by email. Continued use of the Service after changes take effect constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of the State of Arizona, without regard to its conflict of law provisions. You and we agree to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona for any dispute not subject to another agreed resolution process.

16. General

These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent.
